#GRX GreenX Metals LTD – Issue of Shares

GreenX Metals Limited (GreenX or Company) advises that further to its announcement made on 4 August 2026, the Company has today issued 283,954 ordinary fully paid shares (Shares) in relation to the grant of an additional exploration licence at the Eleonore North Project.

An application will be made for the admission of 283,954 Shares to the Equity shares (international commercial companies secondary listing) listing segment of the Official List of the FCA (Official List) and to trading on the main market of the London Stock Exchange for listed securities (LSE Admission). Timing on LSE Admission will be disclosed once the application has been submitted.  

For the purposes of the Financial Conduct Authority’s Disclosure Guidance and Transparency Rules (DTRs), following LSE Admission, the Company’s issued ordinary share capital will be 312,256,505 ordinary shares. The above figure of 312,256,505 may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company following LSE Admission.

#MDH Mendell Helium PLC – Warrant Extension, Director Shareholding & RPT

Mendell Helium (LON: MDH) provides the following update on certain of its outstanding warrants.

 

Warrants Extension

 

The Company announces that it has agreed to renew the period within which the 4p 2025 Warrants (defined below) may be exercised by an additional six months expiring on 26 December 2026. If the 4p 2025 Warrants have not been exercised by 26 December 2026, the 4p 2025 Warrants will lapse.  As part of this renewal, the Company has also made it a term of the 4p 2025 Warrants that they must be exercised into new Ordinary Shares in the event that the closing mid market price of an Ordinary Share is above 7 pence for a period of ten trading days.  The terms of the 6p 2025 Warrants (defined below)  Warrants have not been amended.

 

The Company announces that it has also agreed to renew the period within which the 6p 2024 Warrants (defined below) and Broker Warrants (defined below) may be exercised by an additional approximately five months to also expire on 26 December 2026. If the 6p 2024 Warrants and Broker Warrants have not been exercised by 26 December 2026, the 6p 2024 Warrants and Broker Warrants will lapse.

 

In aggregate, the Company has extended the exercise period for 25,955,553 warrants, all of which will expire on 26 December 2026.

 

Nick Tulloch, CEO, and Eric Boyle, Chairman, hold 1,735,283 and 416,666 6p 2024 Warrants respectively and, accordingly, excused themselves from the Board’s decision in respect of the 6p 2024 Warrants.

 

Related Party Transaction

 

The participation of Nick Tulloch and Eric Boyle in the 6p 2024 Warrants extension is a “related party transaction” for the purposes of Rule 13 of the AIM Rules (the “Transaction”). Paul Mendell and John Brown, being directors of the Company independent of the Transaction, having consulted with the Company’s nominated adviser, Cairn Financial Advisers LLP, consider that the terms of the Transaction are fair and reasonable in so far as the Company’s shareholders are concerned.

 

Background

 

On 23 June 2025, the Company announced a £515,000 gross fundraise through a subscription (the “Subscription”) for ordinary shares of 1p each (“Ordinary Shares”).  For every two new Ordinary Shares issued pursuant to the Subscription, investors received one warrant allowing the holder to subscribe for an additional new Ordinary Share in the Company at an exercise price of 4 pence per Ordinary Share, exercisable within one year of Admission (“4p 2025 Warrants”) and one warrant allowing the holder to subscribe for an additional new Ordinary Share in the Company at an exercise price of 6 pence per Ordinary Share, exercisable within three years of Admission (“6p 2025 Warrants”). There are 10,647,750 4p 2025 Warrants outstanding representing 3.1% of the Company’s issued share capital which expired on 26 June 2026.  There are 13,522,750 6p 2025 Warrants outstanding and the terms of these warrants have not been amended.

 

On 27 June 2024, the Company announced a £864,468 gross fundraise through a subscription (the “2024 Subscription”) for Ordinary Shares.  For every two new Ordinary Shares issued pursuant to the 2024 Subscription, investors received one warrant allowing the holder to subscribe for an additional new Ordinary Share in the Company at an exercise price of 6 pence per Ordinary Share, exercisable within two years of Admission (“6p 2024 Warrants”).  The Company also issued 900,000 warrants to the brokers who facilitated this fundraising (“Broker Warrants”). The Broker Warrants allow the holder to subscribe for an additional new Ordinary Share in the Company at an exercise price of 3 pence per Ordinary Share, exercisable within two years of Admission. There are 14,407,803 6p 2024 Warrants and 900,000 Broker Warrants outstanding representing, in aggregate, 4.5% of the Company’s issued share capital which expired on 19 July 2026.

 

The Company’s fundraising that was announced on 30 April 2026 (the “April 2026 Fundraising”) limited the ability for certain investors to exercise their 4p 2025 Warrants, 6p 2024 Warrants and Broker Warrants.

 

As at the date of this announcement, there are 108,533,799 warrants over new Ordinary Shares outstanding in the Company.

Overview of Mendell Helium

 

Mendell Helium is a helium producer in Kansas, USA where it operates through its wholly owned subsidiary M3 Helium.

 

M3 Helium’s flagship well, Rost 1-26, is in Fort Dodge, just to the east of Dodge City, Kansas. It has been tested as containing 5.1% helium composition and a drill stem test yielded a maximum flow rate of approximately 2,900 Mcf per dayWater removed from Rost 1-26 is delivered to Brobee, a nearby disposal well that has been permitted at 10,000 barrels of water per day at 1,200 psi.  Production at Rost 1-26 commenced in early November 2025 and the most recently recorded flow rate in December 2025 was 250 Mcf per day equating to approximately $1.4 million of helium per year (at $300/Mcf helium).

 

M3 Helium has subsequently drilled a second well, Rost 2-26, which is currently being completed. It also owns additional leases in the Fort Dodge area capable of supporting up to eight new production wells. It has also agreed a joint venture with Ritchie Exploration, Inc. to recomplete the Schneweis Ventures 13A, a well with a drill stem test of over 10,000 Mcf per day and a historic flow rate of 300 Mcf per day.

 

At the Rost wells in Fort Dodge, M3 Helium treats the raw gas on site to concentrate the helium and has leased two tube trailers which it uses for deliveries to its offtaker.

 

M3 Helium also has interests in five producing wells (Peyton, Smith, Nilson, Bearman and Dimmitt) within the Hugoton gas field in South-Western Kansas, one of the largest natural gas fields in North America. Significantly these wells are in the proximity of a gathering network and the Jayhawk gas processing plant meaning that producing wells are all tied into the infrastructure.

#MDH Mendell Helium PLC – Conversion of CLNs

  Mendell Helium announces that the Company has received notice to convert a total face value of £10,000 convertible loan notes (the “CLNs”) resulting in the issue of 350,000 new ordinary shares in the Company (the “New Ordinary Shares”) (“Conversion”).

 

In accordance with the terms of the CLNs, which were announced on 9 December 2025, the conversion price of the CLNs is 3 pence. The New Ordinary Shares issued also reflect the 5% fee due on Conversion (which is itself payable through the issue of New Ordinary Shares). Following Conversion, the Company has CLNs with a face value of £290,000 outstanding.

 

Admission

Application will be made for the 350,000 New Ordinary Shares to be admitted to trading on the Aquis Stock Exchange AQSE Growth Market (“Admission”). Admission is expected to occur at 8:00 a.m. on or around 6 January 2026. The New Ordinary Shares will rank pari passu with the existing ordinary shares.

URU Metals Limited (“URU” or the “Company”) is pleased to announce that, Lesego Platinum Uitloop (Pty) Ltd (“LPU”), has initiated a share issuance process to comply with South Africa’s empowerment regulations under Mining Charter III. This significant step marks a crucial milestone in fulfilling the requirements for the granting of the mining right by the Department of Mineral Resources and Energy (DMRE) to URU, thereby positioning the Company to advance its exploration and further project development activities.

Mendell Helium announces that it has issued 667,000 new ordinary shares at a price of 3 pence per share (the “Shares”) and 500,000 warrants over new ordinary shares with an exercise price of 3 pence per share exercisable for a period of two years from Admission (as defined below),  in lieu of certain accrued liabilities owed by the Company.

 

Admission

Application has been made for the Shares to be admitted to trading on the Aquis Stock Exchange AQSE Growth Market (“Admission”). Admission is expected to occur at 8:00 am on or around 15 October 2024.

 

Total voting rights

Following Admission, the Company’s enlarged share capital will comprise 43,885,160 ordinary shares of 1 pence each. Therefore, the total number of voting rights in the Company will be 43,885,160. #POW Power Metal Resources PLC – £900,000 Equity Financing

Power Metal Resources PLC (LON:POW) the London listed exploration company seeking large-scale metal discoveries across its global project portfolio announces it has completed a placing and subscription to raise £900,000 before expenses (the “Financing”).

HIGHLIGHTS

§ Power Metal has raised £900,000 before expenses for the advancement of priority exploration projects and for general working capital purposes with the Financing undertaken at the closing market bid price of 1.4 pence on 13 January 2023 (see below for detailed Financing terms).

§ The fundraising will be applied to a comprehensive exploration programme at the Tati gold project and will allow Power Metal to accelerate preparations for exploration at the Company’s strategic uranium portfolio in the Athabasca Basin region of Saskatchewan, Canada.

§ At Tati the Company’s exploration plans include soil geochemistry, geophysics, mechanised trenching, reverse circulation (RC) and diamond drilling.  This work will examine near surface gold mineralisation across a far larger proportion of the 8km gold-in-soil anomaly which extends through the centre of the Tati licence footprint and, through planned drilling, test for gold mineralisation at depth.

§ Power Metal is seeking to undertake exploration programmes at a number of its Athabasca uranium properties during the upcoming spring and summer, following snowmelt. The work programmes will be designed to follow up on high-grade uranium rock sample results achieved by the Company during the 2022 campaigns, as well as inaugural work programmes at other properties in the portfolio which have not been worked by Power Metal to date.

§ Diamond drilling has recommenced at the Molopo Farms Complex project in Botswana after the Christmas break and specifically at drillhole DDH2-3A into target area T2-3A. In addition, at the Company’s Victoria Goldfields joint venture a diamond drill programme is underway targeting extensions of the former high-grade working Berringa gold mine.

FINANCING FURTHER INFORMATION

§ The Company has raised £900,000 before expenses through the issue of 64,285,714 new ordinary shares of 0.1p each in the Company (the “Financing Shares”) at an issue price of 1.4p per share, the closing market bid price on 13 January 2023.

 

§ Each Financing Share has an attaching warrant to subscribe for one new ordinary share of 0.1p each in the Company (“Ordinary Share”) at an exercise price of 2.0p per share with a 24-month term from 30 January 2023 (“Financing Warrant”) creating 64,285,714 Financing Warrants.

 

§ Should the Power Metal share price exceed a volume weighted average share price of 6p for five trading days Power Metal may issue a written notice to Financing Warrant holders providing ten trading days to exercise Financing Warrants and twenty trading days to make payment of exercise monies, or the Financing Warrants may be cancelled.

 

§ The Financing was undertaken by the Company’s joint broker First Equity Limited.  Power Metal has issued First Equity Limited with 6,428,571 warrants to subscribe for new Ordinary Shares on the same terms as the Financing Warrants.

 

ADMISSION AND TOTAL VOTING RIGHTS

Application will be made for the 64,285,714 Financing Shares to be admitted to trading on AIM which is expected to occur on or around 30 January 2023 (“Admission”). The Financing Shares will rank pari passu in all respects with the ordinary shares of the Company currently traded on AIM.

Following Admission, the Company’s issued share capital will comprise 1,727,574,806 ordinary shares of 0.1p each. This number will represent the total voting rights in the Company and may be used by shareholders as the denominator for the calculation by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority’s Disclosure and Transparency Rules.
