AQUIS STOCK EXCHANGE

Lift Global Ventures (LFT) has bought a 2.18% stake in FourJaw Manufacturing Analytics, which is developing AI and machine learning technology for manufacturing, for £150,000 in shares at 1.5p each. The share price jumped 64.3% to 0.575p.

WeCap (WCAP) investee company WeShop has been added to the US Russell 3000 index. Hot Rocks Investments (HRIP) is also a WeShop shareholder. It has made new investments in oil and gas explorer Colossal Energy Fields and Brazil minerals explorer Prospectiva Resources.

Majestic Corporation (MCJ) reported a dip in full year revenues from $49.3m to $38.2m, while pre-tax profit improved from $1.01m to $1.35m. The recycling business expects pre-tax profit to be much higher this year.

Coinsilium Group (COIN) chairman Malcolm Palle bought 750,000 shares at 2.05p each. He has a 3.43% shareholding.

Healthcare IT supplier DXS International (DXSP) says full year revenues will be slightly lower than the previous year at around £3.4m. There should be a small profit this year. Ten pilot deployments of the NextGen referral service are active. NHS decisions are still being delayed.

Ormonde Mining (ORM) had cash of €1.09m at the end of 2025 and since then it has received the final deferred consideration for La Zarza. In 2025, cash used in operations was €679,000.

Advanced technology developer Vault Ventures (VULT) reported a non-cash impairment of £2.12m for its Dubai activities. There was a cash outflow from operating activities of £2.85m. Cash was £766,000 at the end of 2025.

Vaultz Capital (V3TC) is convening a general meeting on 21 July to gain shareholder approval to end the Bitcoin buying and to sell the remaining holding.

Tomahawk Metals (TMHK) has entered into an advisory agreement with Sven Honig and Voytech Sesulka for new projects for the company to consider. They will also analyse the information on the antimony and gold licences in Slovakia. Sampling will be conducted at the Saturn gold project in Western Australia.

Wishbone Gold (WSBN) had cash of £3.4m at the end of 2025. There was a cash outflow from operations of £2.62m and capital investment of £2.05m.

Marula Mining (MARU) has approved the budget and the mine development plan for the Tonto Tshipi and Derdepoort manganese mines in South Africa. Funding is being secured. The 2025 accounts should be audited by the end of July.

Phoenix Digital Assets (PNIX) had net assets of £16.3m at the end of 2025.

S-Ventures (SVEN) had net assets of £2.78m, including an investment in AIM-quoted Tooru valued at £3m.

Sports business VVV Sports (VVV) is raising up to £5m. Campana Investments has exercised warrants and that has already raised £1.2m this year. Net assets were £611,000 at the end of 2025.

Gledhow Investments (GDH) had net assets of £996,000at the end of March 2026.

Globe Capital (GCAP) has appointed AlbR Capital as broker. Net liabilities were £670,000 at the end of 2025.

Inqo Investments (INQO) increased full year revenues by 31% to R33.8m. The main investment is Kuzuko Lodge, which nearly doubled revenues.

BWA Group (BWAP) chief executive Peter Taylor bought 256,000 shares at 0.39p each and 238,000 shares at 0.42p each. He owns 5.65%.

On 15 May, the JP Jenkins index was 52.5 points higher at 1297.16. A reweighting was planned for the end of June.

AIM

Futura Medical (FUM) has terminated its US agreement with Haleon for erectile dysfunction treatment Eroxon because of disappointing sales. Futura Medical has waived the patent milestone and will receive a $1.9m termination fee. The US commercial rights will be returned, as well as being granted permission to use existing marketing materials. Market Performance Group will distribute Eroxon on a commission basis in the US from the beginning of September. The home tests results for WSD4000 showed that 79% of women reported a general improvement in all or most aspects of sex and three-quarters had increased interest in sex.

Decision intelligence software provider ActiveOps (AOM) grew full year revenues from £26.8m to £38m from a combination of organic growth and a nine month contribution from Enlighten. Net revenues retention was 119%, while annualised recurring revenues are £41.5m. Pre-tax profit increased from £1.3m to £2.4m. Cash was £23.8m at the end of March 2026. The $10m from the sale of the WorkIQ trademark to Microsoft was received after the year end.

Battery technology developer Ilika (IKA) has raised £5.1m at 28p/share and a retail offer could raise up to £500,000 more. This will help to finance the commercialisation of the Stereax technology, as well as providing further development funding for Goliath batteries.

Advanced materials and paper producer James Cropper (CRPR) has refinanced its debt, which will provide greater flexibility. This includes a new invoice discounting facility of up to £15m. A one-off pension funding charge of £600,000 has been agreed. The next valuation has been brought forward to March 2027.

Consumer products supplier Supreme (SUP) increased full year revenues by 17% to £270.2m, while underlying pre-tax profit fell from £32.4m to £31m, partly due to higher depreciation. Recent acquisitions helped drinks and wellness to grow, but electricals and household was hampered by poor batteries and lighting markets, although there was a contribution from 1001, which was acquired last year. Spending on acquisitions and new manufacturing facilities was more than covered by cash generation. Vaping product sales grew despite disruption from the banning of disposable vapes. There is uncertainty caused by the new vape duty based on volume of liquids. This comes into force in October.

River Global (RVRG) has issued D shares to the holders of the A shares. The D shares will be entitled to receive a distribution of Liontrust Asset Management shares issued for the sale of the fund management business. The company will retain some shares in Liontrust and more than £2m in cash to help fund annual running costs of £400,000. Rover Global will remain on AIM for the time being and will decide whether to seek a reverse takeover transaction. The remaining interest in Parmeni9on is estimated to be worth £75m-£90m.

Huddled Group (HUD) raised £1.24m at 0.4p/share via subscription and the retail offer at 0.4p/share was nearly three times subscribed and the online retailer decided to accept £200,000, which was double the amount sought. That takes the total raised to £1.51m. The cash will be spent on increasing stock levels and on marketing activity. Management believes that this should take the business to cash flow positive.

Mercantile Ports & Logistics (MPL) says the hearing before the National Company Law Tribunal relating to Karanja Terminal & Logistics has been adjourned. There will be a further hearing on 7 August. The port handled 1.2 million MT of cargo in 2025, compared to 1.33 million MT in the previous year. Net debt is £49.6m.

Fulcrum Metals (FMET) has entered a non-binding $20m royalty financing term sheet with Chancery Royalty, which would also subscribe £200,000 for shares at 8.5p each. This covers tailings at the Teck-Hughes project. This involves a proposed 5% net smelter royalty and 2% could be repurchased for $10m.

Cyber security services provider Shearwater Group (SWG) has secured a five-year contract extension with a UK telecoms client worth £25m over the period. This is for packet monitoring, forensic analysis and assurance services. There will be £12.5m recognised in 2025-26. However, cash will not be collected until after the year end. Net cash is likely to be lower than expected at £5.6m at the end of June 2026. Pre-tax profit is still forecast to rise from £600,000 to £1.1m.

Titon (TON) has acquired G-Pack Manufacturing for £1m. The business supplies injection moulded plastic components for windows and doors and revenues were £1.3m last year. Manufacturing will be moved in-house. The deal should be earnings enhancing in the first full financial year and will create cross selling opportunities.

Electronics and batteries supplier Solid State (SOLI) reported pre-tax profit 11% ahead of the Cavendish forecast at £8.6m. Revenues were 3% ahead at £154.1m, which was 23% higher than the previous year and gross margin improved. Net debt was £4.2m. The order book is worth £102.4m.

Plugin overdraft provider Fiinu (BANK) is taking a £7.3m write-down on the Everfex acquisition. There are arbitration claims against the sellers of Everfex. That write-down increases the 2025 loss to £10.4m. Conister Trust is set to launch Plugin Overdraft during the summer. Further discussions have been held with ten banks in Europe. Monthly burn rate is £220,000. Sami Kalliola is stepping down from the board but will still be involved in developing European white-label opportunities.

MAIN MARKET

Packaging manufacturer and distributor Macfarlane Group (MACF) says the trustees of it pension fund have agreed a £53m bulk annuity buy-in with Royal London. This removes the risk of the defined benefit scheme. The income stream matches obligations. A full buy out and wind up of the pension fund is possible within two years. No pension contributions have been made since 2023. If there is any surplus at the next valuation it would be paid to the company.

KR1 (KR1) generated income of £56,228 during May. NAV was 19.73p/share at the end of May.

Shell Acceler8 Ventures (AC8) is offering 2.6797 shares for each Intuitive Investments Group (IIG) share. At 80p each, this valued Intuitive Investments, which is recommending the bid, at £600m and its shareholders will own 99% of the company. This enables Intuitive Investments to move from the Specialist Fund Segment to the Main Market. This should help to attract investors.

New Frontier Minerals (NFM) is accelerating exploration at the Harts Range heavy rare earths and niobium project. The Kings Cross prospect will be prioritised.

AQUIS STOCK EXCHANGE

Vehicle electrification technology developer Equipmake (EQIP) has received a £5.45m order from Agrale to supply electric drivetrain systems for 50 buses. Agrale had previously ordered five drivetrains. The new order will be delivered from now to mid-2026 and there will be payments in advance for each delivery. Equipmake has an order book worth more than £10m.

WeCap (WCAP) investee company WeShop has filed with the SEC for a listing on Nasdaq. The SEC has to review the filings before the listing can happen. WeCap has a direct stake of 5.189 million shares in the shoppable social network. Peel Hunt holds 17.2% of WeCap. The share price increased 43.6% to 2.8p. Hot Rocks Investments (HRIP) owns 150,000 WeShop shares.

TechFinancials Inc (TECH) has concluded due diligence on the Dilotiko project in Kenya and a 25% stake in Dilotiko Ltd will be acquired for £200,000 in shares. There is an option to acquire up to 60%. TechFinancials is raising £250,000 at 0.25p/share. The company plans to change its name to Ubunto Mining and Metals Inc.

BWA Group (BWAP) has entered a binding option and earn-in agreement to acquire 70% of Aracari Resources, which holds the Aracari gold project in Cameroon. There is a 90 day due diligence period plus spending of €25,000, then a further €100,000 of spending will earn 10%, €400,000 to take the stake to 51% and an additional €1m to take the stake to 70%.

Global Connectivity (GCON) investee company PLUG has completed its pilot copper cable extraction contract in Brazil. PLUG has been added to Telefonica’s preferred supplier list for the service in Brazil and around he world.

Cannabis medicines developer Ananda Pharma (ANA) says chief executive Melissa Sturgess is presenting and attending a panel discussion at the 8th Cannabinoid & Endocannabinoid Drug Development Summit, taking place in Boston, Massachusetts in mid-October.

Mendell Helium (MDH) says dewatering has started at the M3 Corporation Rost-1-26 well in Fort Dodge, Kansas. Mendell Helium has an option to acquire M3 Helium, and the option has to be exercised by 30 September. A move to AIM is likely when Rost starts production.

Valerium (VLRM) is accelerating the strategy to build a blockchain-powered finance ecosystem, and it is selectively investing in leading operations in this area. This should enable larger and faster revenues.

Amazing AI (AAI) plans to start buying crypto assets this month, starting with Bitcoin.

Vault Ventures (VULT) has launched a new website and interactive hub at investors.vaultplc.com. A further purchase of 47.48 ETH means the total holding is 818.85 ETH and 2,201.1 SOL.

ASSET MATCH

Isles of Scilly Steamship Company (IOS) reported a slight increase in full year revenues to £21.7m, while pre-tax profit edged up from £2.95m to £3.04m. Net debt was £7.5m at the end of March 2025. A 15p/share dividend has been proposed.

AIM

Scotland-based housebuilder Springfield Properties (SPR) is refocusing on the North of Scotland. It still has projects in central Scotland, but new land buying will be in the North. There were £60.5m of land sales during the year and there is still more to come from the sale deal with Barratt Redow. That helped to cut net debt to £20.9m and it should fall to £10m by May 2026 when more disposal proceeds are received. That will enable the buying of additional land in the North. The land sales helped to nearly double pre-tax profit from £10.6m to £20.1m. Springfield Properties is planning to hold on to some of the homes it builds in the North and lease them to infrastructure providers so that they can house their workers.

Audio products supplier Focusrite (TUNE) performed strongly in the six months to August 2025. Revenues improved from £81.6m to £87m during the period. This is despite negative currency movements. New product launches helped and offset lower spending on audio reproduction equipment. Gross margin is improving despite tariffs. The 12-month revenues rose from £158.5m to £168m. EBITDA is in line with expectations of £25.2m despite the better revenues. Net debt was £11m at the end of August 2025. The new financial year end is February.

Advanced imaging and biodetection technology developer Kromek (KMK) moved into profit in the year to April 2025 thanks to revenues from its collaboration agreement with Siemens. A loss of £3.2m was turned into a pre-tax profit of £4.1m, helped by the high margin nature of the Siemens income. The Siemens income will be lower this year, but the rest of the business should grow. Kromek will remain profitable but gross margin will be lower. Regular orders from Siemens are expected in 2027. Net cash is £1.2m and there is no requirement for any share issues, because cash should build from this point.

Fiinu (BANK) has entered an exclusive strategic partnership with Manx Financial (MFG) subsidiary Conister Trust to launch Plugin Overdraft in the UK. It will be launched initially with one million plus retail customers and then rolled out to other customers. It will be branded “Conister Bank Plugin Overdraft®, powered by Fiinu“. There is a profit-sharing agreement.

Sexual health products developer Futura Medical (FUM) says 2025 revenues will be much lower than expected and it has widened the strategic review to include all options to create shareholder value. US sales of Eroxon remain weak and there are stocks left from the original order. Other markets are also weaker than expected. The $2.5m milestone payment from Haleon for granting of a US patent has been delayed until next year. Full year revenues will be between £1.3m and £1.4m. Cash was £2.71m at the end of August 2025. This should last until January 2026. Cost savings are being made and funding sought. Interim results will be published on 30 September.

Renalytix (RENX) has signed a collaboration agreement with Tempus AI which will help to accelerate the adoption of the company’s kidneyintelX.dkd test to help slow kidney disease. The test is for predicting “progressive decline in kidney function in type 2 diabetes patients with diagnosed chronic kidney disease stages 1-3b”.

Plant-based detergent ingredients developer Itaconix (ITX) increased interim revenues 30% to $4.8m and it is on course to reach $9.5m in the full year. A halved loss of $900,000 is forecast, which is slightly higher than previously expected. Reporting has been changed so that there are two main sources of revenues. Performance ingredients and SPARX formulated solutions. The latter is growing faster.

TV and film fleet services provider Facilities by ADF (ADF) reported a quiet start to the year, but momentum is improving. Interim revenues were 14% ahead at £17.4m. The loss increased from £800,000 to £2m. More productions were facilitated, but the average income was lower. One-fifth of the fleet has been placed in storage.

Acoustic products supplier Autins Group (AUTG) is suffering from volatile conditions in the automotive sector. In the five months to August 2025, revenues fell from £8m to £7.7m and the loss was reduced from £714,000 to £258,000. JLR is a major customer, and it has been hit by a cyber attack. JLR production stopped on 1 September and that will hold back Autins revenues.

Architectural and construction software provider Eleco (ELCO) continues to grow recurring revenues at an impressive rate. Annualised recurring revenues could each £32.6m at the end of 2025. That is helped by acquisitions but there is still organic growth. Recurring revenues were 81% of interim revenues.

Caledonian Holdings (CHP) is stepping back from a wider marketing of its proposed fundraising. It is focusing on talking to institutional investors. If these are successful a broadening of the fundraising will be considered. The cash will be used to invest in investee company AlbaCo to provide regulatory capital.

Employee benefits and insurance provider Personal Group Holdings (PGH) improved interim revenues 11% to £23.3m. Annualised recurring revenues ae 12% ahead at £45.7m. Pre-tax profit was 72% higher at £3.8m. The dividend was raised by 26% to 8.2p/share. The 2025 pre-tax profit forecast has been edged up to £8.2m.

Digital loyalty and promotions platform operator Eagle Eye (EYE) had already flagged up the full year figures and announced the loss of a major client. In the year to June 2025, revenues rose 1% to £48.2m, but the core revenues increased at a faster rate. Revenues will fall this year, and Eagle Eye will make a loss before rebounding to profit next year.

Cyber security software and hardware supplier Corero Network Services (CNS) had a tough start to the year, and order intake reduced. Interim revenues fell 10% to $10.9m. However, annualised recurring revenues grew to $21.6m. Customer retention was 98%.

Battery technology developer Gelion (GELN) subsidiary OXLiD has been awarded £533,000 of grant funding from the DRIVE35 programme in the UK. This will be invested in development of lithium-sulfur multi-layer pouch cells. This supports a £1.1m project which Gelion is working on with QinetiQ. There will be demonstrations of the technology in September 2026.

MAIN MARKET

Mears (MER) is acquiring Pennington Choices for £9.5m in cash. This will add to the group’s compliance activities and it could contribute annual EBITDA of £1.5m.

Life Science REIT (LABS) has completed a strategic review and decided on a managed wind down. The slow pace of leasing activity has held back further investment, and the share price has been trading at a large discount to NAV. The wind down is expected to take around 18 months. The board is in discussions with the investment manager. A circular will be sent to shareholders to gain approval for the proposals.

AQUIS STOCK EXCHANGE

TechFinancials (TECH) has entered into an agreement to potentially acquire a 60% stake in the Dilotiko high-grade iron ore project in Kenya. The mining permit application is going through final evaluation. There has been historical exploration. This could be an open pit mine with a 20 year life. TechFinancials is issuing 20 million shares at a deemed share price of 0.25p for an option to acquire 60% of Dikotiko. Then, within 60 days 80 million shares, depending on the price will be issued to acquire 25% of project owner Dilotiko Ltd. Further shares will be issued to take the stake in the project to 60%. The deal was introduced by Gathoni Muchai Investment Company, which can appoint two directors to the TechFinancials board following the formal acquisition. The firm will also underwrite a placing to raise £250,000 at 0.25p/share.

Zentra (ZNT) intends to transfer to the newly launched Aquis Real Asset Market. Zentra has completed the acquisition of a site on Old Mill Street in Manchester for £1.425m. The former car park is near a tram stop.

Broker VSA Capital (VSA) returned to profit in the year to March 2025 as revenues rose from £1.89m to £2.78m. A small loss was reported, but that was due to the amortisation charge of £330,000. Underlying pre-tax profit was £323,000. There was £537,000 in the bank at the end of March 2025. The number of retained clients increased from 27 to 30.

AI technology developer IntelliAM AI (INT) generated pro forma revenue of £3.92m in the year to March 2025. Annual recurring revenues are £810,000 and it is expected to grow to £2m by next March. There is cash of £2m.

Hot Rocks Investments (HRIP) increased the size of its fundraising from £375,000 to £450,000, still at 1.125p/share.

The Smarter Web Company (SWC) raised a further £10.3m at 325p/share, which follows the previous placing raising £22.9m at 327p/share earlier in the week. The company currently owns 1,275 Bitcoin at a total cost of £100.1m. There is £31m left to be invested. In the past 30 days there has been a Bitcoin yield of 497% on its treasury holding.

Vaultz Capital (V3TC) director Neil Ritson has left the board. The company has submitted an application to commence share trading on the OTCQB Venture Market in the US. Bryan Reid has built up a near-11% stake.

Coinsilium (COIN) ay that its Forza! subsidiary holds 86.67 Bitcoin. Shareholder agreement to the issue of new shares will enable further investment. Trading activity in the shares has increased.

Ajax Resources (AJAX), which moved from the Main Market, plans to list on Euronext Growth Oslo. The second closing of the company’s subscription by 25 July. An Environmental Impact Study has been submitted for the Eureka copper and gold project in Argentina.

Oscillate (MUSH) has made a non-refundable payment of £500,000 to Kalahari Copper for the acquisition of a subsidiary holding the rights to the Daisu copper and silver prospects in Botswana.

Richmond Hill Resources (SHNJ) has modified terms for the purchase of Three Mile Beach with the long stop date extended until 15 October.

Wishbone Gold (WSBN) has applied for 12 exploration tenements near to the Red Setter gold dome project. They are also close to the Telfer gold mine operated by Greatland Resources (GGP).

Inqo Investments (INQO) has appointed Bowsprit Partners as corporate adviser.

Newbury Racecourse (NYR) director James Richardson has acquired 10,350 shares at 600p each.

Computational biological data analysis business e-therapeutics (ETX) has made progress with lead candidate, ETX-312, a GalOmic siRNA therapy for the treatment of metabolic dysfunction-associated steatohepatitis (MASH). The doses administered in a trial were not toxic.

Sports consultancy and data analysis company 4GLOBAL (4GBL) started trading on JP Jenkins on 8 July.

The JP Jenkins index of the 15 largest companies on the platform rose 0.96% to 1063.19 in the month to 7 July.

AIM

Water and energy efficiency technology services provide Eneraqua Technologies (ETP) says revenues will be lower than expected for the year to January 2025, but pre-tax profit will be in line with forecasts. Revenues of £81m were forecast but the outcome is going to be £63m. A £7m project substantially completed last year is recognised as accrued revenues. There have been delays in the receipt of payments and further deferral of projects in the current year. This has led to the requirement for additional funding. The disposal of a non-core business should raise £1m. Subsidiary Cenergist has been placed in administration due to an adverse adjudication. Trading in the shares has been suspended because of the financial uncertainty.

Executive search firm Norman Broadbent (NBB) reports interim net fee income up by one-third to £6m. This is helped by the rise in the average fee per mandate. Underlying EBITDA is more than £750,000. The company has moved into a net cash position of £200,000. Third quarter contracted revenues have increased.

Begbies Traynor (BEG) has launched a buyback of up to one million shares on the back of its full year results announcement. This shows the confidence in cash generation.  Pre-tax profit was 7% ahead at £23.5m. Net cash was £900,000 at the end of April 2025. Total future earn out payments are £12.2m. Insolvencies remain relatively high compared with recent years. Growth is offsetting the increases in costs. There are headwinds for property advisory. Pre-tax profit could rise to £24.2m this year without further acquisitions.

IT training company Northcoders (CODE) warns that there is limited visibility on government funding of regional training. Some regions have not even launched tenders for the training. Northcoders has a good reputation but cannot guarantee how much business it will win. This makes revenues unpredictable for the full year and Zeus has withdrawn its forecasts. Fixed costs are being reduced.

Plastic products supplier Coral Products (CRU) says full year sales will be slightly lower at £30.5m, but profit will be much better than expected. Cash was £750,000 at the end of April 2025. This year profitability is significantly better than anticipated and there will be an initial contribution from Arrow Film Converters.

Premier Miton (PMI) reported a small decline in assets under management to £10.5bn at the end of June 2025. There was a positive performance over the latest quarter and outflows were lower. After the period end a new $50m mandate was gained.

Jarvis Securities (JIM) has confirmed the sale of its execution-only broker business to Interactive Investor. The initial £9m will be paid shortly and the other £2m deferred for up to 18 months. The settlement business is being wound down and the company will become a shell.

CML Microsystems (CML) has secured a 12-year design and supply agreement with a leading manufacturer of industrial Global Navigation Satellite System equipment. This deal will be worth more than $30m. Shore Capital is still not providing forecasts for this year because of the underlying uncertainty.

Data analysis software provider Celebrus Technologies (CLBS) reported a rise in full year pre-tax profit from $7.4m to $8.4m, although it is likely to be loss making this year. That is du to the switch to a subscription model.

Cybersecurity services provider Shearwater (SWG) issued a positive trading statement. The pre-tax profit forecast was raised from £400,000 to £600,000 and the 2025-26 figure is maintained at £1.1m.

Foreign exchange services provider Finseta (FIN) says interim revenues rose 16% to £5.9m and the number of customers has risen to 1,101. Corporate client generated the majority of revenues. Finseta had already warned that profit would be lower this year due to investment in expansion and there was a slump in the first half. Net cash was £400,000 at the end of June 2025. A stronger second half is expected.

Professional services firm DSW Capital (DSW) had a strong end to the financial year and expects M&A business to be much less important this year. Pre-tax profit was flat at £1.4m. Revenues were higher, partly due to direct solicitors rather than franchise business. Two-thirds of revenues came from M&A, and this will fall to one-third this year.

Futura Medical (FUM) is replacing James Bader as chief executive after disappointing sales o of its main erectile dysfunction product Eroxon. Jeff Needham is also leaving the board. Alex Duggan will become interim chief executive.

Security services provider Westminster Group (WSG) has secured a £500,000 credit facility from Pantheon A Family Office Ltd, which is already a shareholder. There is no interest charge on draw downs and an existing convertible, but the conversion price has been cut from 3p to 2p.

Petro Matad (MATD) has raised £2.84m at 0.8p/share – more than expected – and could raise a further £500,000 from a retail offer. The cash will be invested in lower cost power generation.

Active Energy Group (AEG) has closed a substantially oversubscribed placing raising £346,180. The biomass-based renewable energy technology developer will use the cash for working capital. The company is evaluating a digital assets strategy for its treasury management. A proportion of the fundraising is likely to be invested in Bitcoin and other digital assets.

MAIN MARKET

Motor dealer software provider Pinewood Technologies (PINE) has bought contracts from its South African reseller. The purchase price is £2.5m and this deal includes taking on employees. BSFA

Online travel hostel agency Hostelworld (HSW) says interim revenues were flat at €46.1m and profit will be lower. Reduced bed prices have led to improved demand. Direct marketing costs have risen, holding back profit. Net cash is €6.1m.

The Small Cap awards 2025 shortlist for Aquis company of the year comprises Ananda Pharma (ANA), EDX Medical (EDX), Oberon Investments (OBE), SulNOx Group (SNOX) and Valereum (VLRM).  SulNOx Group has been granted patents for its fuel emissions reduction additives in eight African countries. Shares in Ananda Pharma have started trading on the OTCQB market in the US.

Prize draws operator Good Life Plus (GDLF) has raised £860,000 through shares issued at 2.15p/share, which is a premium to the market price, to Winforton Investments, which is associated with Sportingbet founder Mark Blandford. Another of his investment companies is converting £1m of convertible loan notes at the subscription price. The cash will finance attracting additional customers and media partnerships. Management wants to improve retention and average spending per user through the premium subscription product.

RentGuarantor Holdings (RGG) says shareholders wish to improve liquidity and there are plans to move to AIM in the summer to help with this.

Wishbone Gold (WSBN) has completed the reorganisation of the Western Australia subsidiary. Liabilities have been paid, and this is a step to taking full control of the Red Setter and Cottesloe projects. Geologist Edward Mead has been appointed a director, and he has experience in the Pilbara region of Western Australia.

Invinity Energy Systems (IES) says its partner Frontier Power has signed a Long Duration Energy Storage (LDES) joint development agreement with Ethos Green Energy, who will provide land for projects. This could support up to 20 GWh of storage projects and Frontier Power has reserved up to 2GWh of Invinity Energy Systems manufacturing capacity to support bids.

Campus Investments, which is controlled by David Rowland, is subscribing £1m in VVV Resources (VVV) at 1p/share assuming an agreement with his fully listed company R8 Capital Investments (MODE) over money it is owed. Jonathan Rowland and Richard Morecroft will join the board, and the company will change its name to VVV Sports to reflect the move into sports services.

Sameer Prasad has increased his stake in Investment Evolution Credit (IEC) from 6.99% to 7.37%.

Evrima (EVA) has appointed David Eaton as a non-executive director, and he has corporate finance experience in North America. The shares will be traded on the Open Market of the Frankfurt Stock Exchange. Mark Jackson has increased his stake from 3.12% to 4.13%. Chief executive Burns Singh Tennent-Bhohi has bought 1.9 million shares at prices between 0.5p to 0.6p each.

Jonathan Swaine is stepping down as managing director, pubs at Shepherd Neame (SHEP). He will not be directly replaced.

Fibre optic cables materials manufacturer Unigel Group (UNX) has declared an interim dividend of 2p/share. The ex-dividend date is 24 April.

AIM

Lung cancer diagnostics developer Lung Life AI (LLAI) still plans to leave AIM following its US distribution deal, which requires shareholder approval. This will leave LungLife AI with the activities of running the LungLB test and collecting royalties. Circulogene will have exclusive rights to distribute and further development the LungLB lung cancer diagnostic in the US and the other countries it is involved in. It will also receive some of LungLife AI’s equipment. The royalty payment will be 20% of net revenues generated by the test in the first year, reducing to 15% in the second year. This is a two year agreement with potential for annual renewals. There is an option for Circulogene toacquire all the IP and licences for $6.2m less any payments already made. Circulogene is making an advanced payment of $375,000, which is returnable if the deal does not go ahead. There was $850,000 in cash at the end of March and costs are being reduced. An application has been submitted to a Medicare contractor for the technical assessment of LungLB.

Jarvis Securities (JIM) is selling its execution only broking business to Interactive Investor for £11m and winding down its clearing and settlement operations. Completion will happen when client agreements are transferred and that should happen in early July. The board believes that winding up the remaining operations and returning the remaining cash to investors is the best outcome. It will take 15 months to wind up the business. There are no plans to make an acquisition and shareholder approval will be sought for cancelling the AIM quotation. The share price slumped 70.2% to 12.5p, which is the lowest it has ever been.

Steel structures supplier Billington (BILN) had an exceptionally good 2023, so it is not surprising that revenues fell from £132.5m to £113.1m in 2024. That meant that pre-tax profit fell from £13.4m to £10.8m. There was a special dividend of 13p/share last year, so the ongoing dividend was raised from 20p/share to 25p/share. Trading got tougher in the second half and management is focusing on contacts with sufficient margins rather than chasing sales. Even so, the order book remains strong. Trading will be second half weighted in 2025, and pre-tax profit is expected to dip to £7.3m, downgraded by 24% from the previous Cavendish estimate. Net cash is £21.7m and it should not fall significantly this year, even after higher capital expenditure, which should peak this year. NAV is 410p/share.

Ruggedised plug-in cards developer Concurrent Technologies (CNC) is benefiting from its strategy to bring new products to market in a quicker fashion. This has led to significant contract wins. In 2024, revenues increased from £31.7m to £40.3m, which is more than double the 2022 figure. Pre-tax profit improved from £3.7m to £5.2m. The dividend was raised 10% to 1.1p/share. Revenues of £43m are forecast for 2025 with pre-tax profit of £6m.

Sexual health products developer Futura Medical (FUM) reported figures in line with its trading statement in January. That had already warned that sales of erectile dysfunction treatment Eroxon were growing more slowly than anticipated. Product revenues more than doubled from £3.1m to £6.8m last year. There was also £7.1m of milestone payments. The over the counter product is in lock boxes in US pharmacies that makes it more difficult for potential purchasers to ask for Eroxon. The marketing focus is being refined to men under 60 years old, where efficacy is better. There is net cash of £6.6m and that should last two years.

On Monday, Alba Mineral Resources (ALBA) announced the second auction of a limited edition coin containing one ounce of Welsh gold. The first auction put a price of £20,000 on the coin, which was more than eight times the price of gold at the time. The estimate had been set at £20,000-£25,000. The second coin auction closed on 16 April and the share price jumped on the following day. According to the auction website the coin was not sold. The estimate was £22,500-£32,500, so the bidding probably did not reach that level. There is a third gold coin.

Catenai (CTAI) proposes a sub-division of capital because the share price is lower than the nominal value so no shares can be issued to raise money. The nominal value will be reduced from 0.2p to 0.01p. Catenai recently announced that it had raised £750,000 at 0.15p/share, including a £150,000 subscription by Sanderson Capital Partners. Director fees of £450,000 have been settle by the issue of 30 million shares. Catenai intends invest in Alludium, which has developed a platform for AI process automation. Subject to shareholder approval, £500,000 will be invested in Alludium and when cash is received from Klarian, or raised in a share issue, a further £450,000 may be invested. That would be a 13% stake in Alludium in total.

North Sea gas project developer Deltic Energy (DELT) estimates gross 2C contingent resources of 174bcf at the Selene gas project – a one-third increase on the previous figure. Deltic Energy has a 25% interest in the Selene gas project and its share of post-tax NPV10 estimate is $83m net at 80p/therm. Modelling suggests enhanced production potential from the B-sand interval. A final investment decision could happen in early 2027.

Battery technology developer Gelion (GELN) says initial tests of its sulfur battery technology show robust capacity retention and the achievement of more than 1,000 charge/discharge cycles. This has led to a materials testing agreement with a tier-one battery manufacturer and this should start shortly. Gelion will also recognise £780,000 of revenues relating to the battery energy storage system delivered to Borg Group. A placing and subscription raised £2m at 9p/share and a retail offer could raise up to £191,000. The cash will be used to fund business development, collaborations and the strategic partnership with the Max Planck Institute, which will accelerate the move towards commercialisation.

Sales were weak in February, but online women’s clothing retailer Sosandar (SOS) says fourth quarter sales were in line with expectations. Full year sales have fallen by one-fifth, with a 10% decline in the fourth quarter. Gross margins have improved, though. Six stores have been opened. Net cash is £7.1m. Singer has halved its pre-tax profit estimate for 2024-25 to £500,000. The 2025-26 figure is unchanged at £1.5m.

Musical instruments retailer Gear4Music (G4M) has acquired assets from the administrators of GAK (GAK.co.uk Ltd and The Guitar, Amp & Keyboard Centre Ltd). The stock purchased cost £600,000 but could have a value three times that figure. Gear4Music had been hit by discounting by GAK. There are no plans to use the GAK trading brand. There has been an improvement in trading with sales growth in double digits in recent weeks.

Aura Renewable Acquisitions (ARA) is not going ahead with the acquisition of Zero Carbon Technologies and trading in the shares has recommenced. A minimal amount of due diligence costs were incurred. At the end of 2024, there was cash of £486,000.

Motor finance provider S and U (SUS) has been hit by the uncertainty concerning its core market. There was also a larger impairment charge. The Aspen bridging loan business continues to grow and enabled full year revenues were flat at £115.6m. Pre-tax profit fell from £33.6m to £24m. The total dividend was reduced from 120p/share to 100p/share.

AQUIS STOCK EXCHANGE

Cross border e-commerce technology company Samarkand Group (SMK) reported a dip in revenues of 22% to £6.3m, with owned brands increasing their contribution by 14% to £4.1m. The loss has been reduced even before the £1.08m gain on the disposal of a brand. Net debt is £2m. The switch to focusing on owned brands will continue.

Wind-based hydrogen production technology developer Hydrogen Future Industries (HFI) says turbine testing has been delayed because of a fault in the control unit. Replacement parts should arrive by the end of the month. Schneider Electric is providing software to help analyse data for the feasibility study at Whitehall in Montana. Concept testing of the electrolyser continues, and efficiency is more than 97%. Neil Ritson has become executive chairman.

Unicorn Asset Management has taken a 5.42% stake in Equipmake (EQIP).

Pitch Pit has changed its name to Meme Vault (MEME) and will become an investment company focused on cryptocurrency and Web3 technologies. A new subsidiary will be set up in UAE. Chandila Fernando and Judith Hough will no longer be joining the board. The planned £500,000 placing is not taking place, but there will be an alternative fundraising.

DXS International (DXSP) chairman Bob Sutcliffe bought 35,000 shares at 1.3p each and he owns 1.8% of the healthcare IT developer. Earlier in the week, Hybridan published updated research and said that “management is focused on cashflow control until new NHS sales resume, when there could be significant revenue growth”. It argues that this is not reflected in the current share price.

Mendell Helium (MDH) has an option to acquire M3 Helium, which has acquired 85% interests in three further wells on the western side of the Hugoton gas field in Kansas. Two of the wells are in production and the third could be used as a water disposal well, which will reduce costs. No consideration is payable. The wells are breaking even.

Fenikso (FNK) has doubled its convertible loan to AIM-quoted Coro Energy (CORO) to £500,000. Tom Richardson, chairman of Fenikso is also a director of Coro Energy.

Ormonde Mining (ORM) investee company TRU Precious Metals, where it owns 36.3%, has announced results of copper exploration at the Golden Rose project in Newfoundland. Copper grades were up to 3.7% and some samples included zinc.

Jack Keyes has decided not to join the board of Oscillate (MUSH) as technical director. He is still undertaking hydrogen exploration work for the company.

ProBiotix Health (PBX) company secretary Mark Collingbourne has acquired 80,000 shares at 5.5p each.

AIM

Fabless silicon chip designer and manufacturer EnSilica (ENSI) slipped into loss in the year to May 2024, but there are already contracts in place for a bounce back to profit this year. EnSilica generates cash from operations, but it spent £6.1m on capitalised development. Chip supply generated flat revenues of £2.9m out of group revenues of £25.3m, up from £20.5m in the previous year. Chip supply revenues should start to build up from this year and that will sharply boost profitability. It can take two years or more for chip supply to begin and then production is built up to its peak, so there is built in growth for many years. Singer forecasts a 2024-25 pre-tax profit of £2.7m, doubling to £5.5m next year.

Membrane free electrolyser developer Clean Power Hydrogen (CPH2) has entered into a licence agreement with Lisheen H2 Energy Park, trading as Hidrigin, for the rights to manufacture MFE220 electrolyser units for its own use up to 2GW. This could be worth multi-million Euros. Hidrigin owns the 122MW Lisheen solar park and has funding for other developments. The licence fee will be payable in stages. Separately, there is a sale of a 1MW MFE220 electrolyser unit.

This week there was good news from professional services firm DSW Capital (DSW) with its trading statement following the acquisition earlier this week of DR Solicitors for £6.1m in cash and shares, which will reduce dependence on M&A. DR Solicitors has a client base of doctors, consultants and primary care providers. The latest annual pre-tax profit was £1.2m. The deal should be hugely earnings enhancing. Trading has been gradually improving in the first half. First half profit will be slightly lower at £100,000, but the full year pre-tax profit is expected to recover from £500,000 to £1.4m. A further jump to £2.5m is forecast for 2025-26. The interims will be published on 27 November.

Shell company Selkirk Group (SELK) raised £7.5m at 2.4p/share ahead of joining AIM this morning. The focus is undervalued consumer, technology and digital media businesses. Executive chair Iain McDonald says: “We have chosen to IPO on AIM because, despite the prevailing negative narrative, AIM is still a very attractive market for small, fast-growing companies”.

Electronics and battery products supplier Solid State (SOLI) had a tough first half but it says trading is in line with expectations in the first half and the second half should be better. Interim pre-tax profit has slumped from £7.3m to £2.5m. The components market has returned to normal, and first half revenues declined. Political uncertainty has hampered defence system orders. Last year’s defence revenues were exceptionally strong due to early deliveries, and a decline was expected. That is why full year underlying pre-tax profit is set to fall from £15.6m to £10.1m.

Hummingbird Resources (HUM) has announced a debt restructuring and possible bid. Delays in ramping up production at Kouroussa have strained the balance sheet and $30m of debt repayments have been deferred. Net debt was $155m at the end of September 2024, while trade and other payables were $152m. Nioko Resources, which owns 41% of the gold miner, is proposing a partial debt-to-equity conversion at 2.6777p/share, which would take its stake to 71.8%, and potential bid and cancelation of the AIM quotation. Geoff Eyre has been appointed interim chief executive.

Feedback (FDBK) raised £6.1m at 20p/share, which was a massive discount to the previous market price, which fell to 19.5p. This includes £530,000 raised via a WRAP retail offer of up to £1m. The cash will finance the rolling out of the Bleepa medical imaging communications product and take advantage of a collaboration with a provider of primary care IT services that will use Bleepa to streamline referrals between primary care, Community Diagnostic Centres and community care. The nominal value of shares will be reduced to 1p.

Futura Medical (FUM) has completed two proof of concept studies on new products for the treatment of sexual dysfunction in men and women. Eroxon Intense is a range extension for the existing Eroxon topical product for erectile dysfunction. This provides a stronger sensation. A preferred formulation will be tested next year and regulatory approval is expected by the end of 2025. WSD4000 is a topical treatment for women that treats symptoms such as lack of desire and lubrication. The next stage is a home user study, and results are expected in the first quarter of 2025. A pre-submission meeting with the FDA has happened and there will be another to help design a clinical study. There are discussions with potential partners.

Broadband services provider Bigblu Broadband (BBB) admits that it is in discussions with alternative investment manager Salter Brothers on a possible sale of the SkyMesh subsidiary. The transaction is subject to final terms and financing. This would be the latest asset disposal for Bigblu Broadband.

CleanTech Lithium (CTL) says that the pre-feasibility study for the Laguna Verde project has been delayed until the first quarter of 2025. Additional engineering work is required due to the location of the carbonation plant in Copiapo. An option for onsite renewable power will also be included. Lithium carbonate should be produced from the pilot plant in November.

Digital media publisher Digitalbox (DBOX) has added to its portfolio of digital media brands by acquiring the entertainment business of GRV Media. The assets are CelebrityTidbit.com, RealityTidbit.com and TheFocus.news. They generated revenues of less than £800,000 and they fit with Entertainment Daily and The Tab.

Synergia Energy (SYN) has raised £632,500 at 0.05p/share. There has also been the conversion of £296,000 of loans and £83,000 of fees into shares. The shares come with a warrant exercisable at 0.1p each. This provides funding for the Medway Hub Camelot carbon capture and storage joint venture with Harbour Energy. Synergia Energy wants to farm out up to 25% of the project. There should be a significant increase in production at the Cambay PSC, where a farm out of a 50% interest to Selan Exploration has been completed, from the second quarter of next year.

Kodal Minerals (KOD) joint venture partner Hainan Mining says that the $15m owed to the Mali government should be paid by Kodal Minerals and not the joint venture that owns the Bougouni lithium project. Kodal Minerals disagrees.

Optimer binders developer Aptamer Group (APTA) continues to win new contracts and it has added contracts worth up to £471,000 in the third quarter. This is work from a number of clients and many are repeat customers. Some of the existing customers are reaching a point where they are considering long-term licences. Booked revenues have reached £1.2m for 2024-25. The potential pipeline has increased to £4m.

MAIN MARKET

Cybersecurity company Narf Industries (NARF) says 2024-25 revenues should be at least $5m and they could rise to $8m in the following year. In the 15 months to March 2024, revenues were $7.6m. The dip in revenues is due to a switch in focus to commercial sales rather than the dependence on government funded development, as well as delays in US funding. Thereby building recurring revenues.

Foams manufacturer Zotefoams (ZTF) revenues are accelerating with third quarter growth of 54% and year to date improvement of 23%. Footwear sales are fuelling this growth, helped by the Olympics boosting Nike demand, but other parts of the business are also growing.  Operational efficiency is increasing margins.

Marula Mining (MARU) has entered into a manganese ore supply agreement with Kitman, a local processing company in Kenya. The deal lasts until the end of 2026. Kitman will supply a minimum of 10,000 tonnes/month of manganese ore at 20% grade minimum to the Kilifi manganese processing plant. There will be an advance payment for 5,000 tonnes. A mining permit has been issued for Blesberg lithium and tantalum mine.

In the year to March 2024, business assurance provider Adsure Services (ADS) increased revenues from £8.99m to £9.3m, while pre-tax profit was 72% higher at £471,000. There was cash of £1.07m at the end of March 2024.

Ormonde Mining (ORM) investee company TRU Precious Metals has signed an option agreement with Eldorado Gold so that it can earn 80% of the Golden Rose project in Newfoundland. The 36.2%-owned TRU Precious Metals has persuaded Eldorado Gold to invest in the early-stage project.

Valerium (VLRM) will collaborate with Tokeny as a technology provider for Valerium’s Real World Asset (RWA) marketplace. The technology will enable the primary issuance and bulletin board-based secondary trading of various digital assets.

KR1 (KR1) had net assets of 82.01p/share at the end of June 2024. Income earned during the month was £877,000. One-quarter of the value of the portfolio is in Celestia tokens.

Hydrogen Future Industries (HFI) has secured a technology and territory licensing agreement worth up to €2.25m. The wind-based hydrogen production technology company has signed the deal with a new company in the Republic of Ireland.

Emission reduction fuel additives developer SulNOx Group (SNOX) says first quarter revenues were 134% ahead at £192,000. There were record product sales in the quarter. There was £1.6m in the bank at the end of June 2024.

RentGuarantor (RGG) increased interim revenues by 70% to £518,000, but the loss increased from £408,000 to £452,000 due to the hiring of staff. Net debt is £1.07m.

Cooks Coffee Company (COOK) has raised £320,000 at 7.85p/share. Chief executive Aiden Keegan has joined the board.

Supernova Digital Assets (SOL) had net assets of £5.49m at the end of April 2024, following an increase in the value of its cryptocurrency assets. There is £209,000 in cash.

AIM

Trinidad-based oil and gas producer Trinity Exploration and Production (TRIN) is recommending a cash bid from Trinidad incorporated Lease Operators and withdrawn the recommendation of the Touchstone Exploration (TXP) offer of 1.5 shares for each of the oil company’s shares. The bid is 68.05p/share and values Trinity Exploration and Production at £26.4m. There will be economies of scale between the two oil producers.

Touchstone Exploration (TXP) achieved net sales of 5,432 barrels of oil equivalent/day in the second quarter of 2024. Current average production was 5,711 boe/day with production improving at Cascadura.

Haleon has announced that it will launch the Futura Medical (FUM) erectile dysfunction topical gel treatment Eroxon in the US before the end of 2024. This will trigger the US launch milestone. The US is a bigger potential market than all the other sales regions combined. So far, Eroxon has been launched in Belgium and the UK with more to follow.

In the year to April 2024, SDI Group (SDI) revenues dipped from £67.6m to £65.8m, but there was underlying growth if the previous year’s Covid-related revenues are excluded. The scientific instruments manufacturer’s operating margins are just above 14%. Pre-tax profit dipped from £11.8m to £8m because of the higher margin business in the previous year. Management says there are potential acquisitions in progress, but the timing is always difficult to predict. Net debt was £13.2m at the end of April 2024 and that could halve in a year’s time without any acquisitions. Cavendish forecasts 2024-25 pre-tax profit of £8.4m and earnings of 6p/share are forecast.

North Sea-focused Jersey Oil and Gas (JOG) could be hampered by the rise in the energy profits level to 38% and the main investment allowance of 29% will be removed from November. A reduction in capital allowances will be announced in the October Budget. The levy will be extended until 2030. The Great Buchan Area joint venture will be impacted. Jersey Oil and Gas has a full carry on much of the development spending of the project and there are potential milestone payments. However, the final investment decision could be hampered by the tax changes.

RBG Holdings (RBGP) is expecting interim revenues of £18.4m, down from £19.8m. Net debt was £24.4m at the end of June 2024 and the debt facility is fully drawn. Costs are being reduced, but most will come through next year. A pre-tax profit of £1.2m is forecast for 2024 after the previous year’s loss.

UK Oil and Gas (UKOG) is the highest riser for the second week. its Dorset and Yorkshire underground hydrogen storage projects have received a letter of support from RWE, which is developing three hydrogen plants near to the storage projects. Other letters of support have come from Japanese trading house Sumitomo and pipeline provider SGN. The projects are at an early engineering design stage.

Oil and gas producer Arrow Exploration (AXL) says that the second horizontal well on the 50%-owned Carrizales Norte field in Colombia is producing ahead of expectations. The two wells are boosting group production. There is cash of $11m and should be at a similar level at the end of 2024 as cash generated from production helps to finance further drilling. Zeus has a total risked NAV estimate of 48.8p/share.

Online gaming company Gaming Realms (GMR) expects interim revenues to be m18% ahead at £13.5m and EBITDA should be 21% higher at £5.8m. Adding new partners has boosted income. Gaming Realms is on course to increase full year pre-tax profit from £5.4m to £8.8m. Net cash could double to £14m.

IQE (IQE) plans to float its Taiwan subsidiary on its local stock exchange.

Vector Capital (VCAP) plans to leave AIM and is offering shareholders the chance to tender shares at 33p each. The tender offer covers up to 11.2 million shares and will cost £3.7m. Interim pre-tax profit dipped 45% to £707,000. Vector Holdings owns 75.2% of the property finance provider

MAIN MARKET

Cybersecurity company Narf Industries (NARF) has admitted it requires additional funding to take advantage of its IP that has been developed as part of consultancy contracts. In the 15 months to March 2024, revenues were $7.6m, which was treble the level for the previous twelve months. These revenues come from consulting work. The reported loss was $1.44m, although that includes a share-based payment cost of £1.02m. There was a cash inflow from operating activities of $173,000. The chief executive has increased the facility made available to the company from $2m to $2.5m and this lasts until July 2025. At the end of March 2024, there was $1.55m drawn down.

Guild Esports (GILD) is exploring options that will enable it to meet short-term liabilities. That could be new credit terms, a fundraising or further cost savings. Management is also assessing the strategic direction of the company and that could lead to assets being sold. A partnership deal has been secured with AIM-quoted Inspecs (SPEC) for the marketing of the eyewear company’s REGEN glasses.

RentGuarantor (RCG) 2023 revenues were 3% ahead of Zeus forecasts and expects to upgrade its 2024 forecast in April after the accounts are released. The 2023 revenues were 73% higher at £742,000. There was a 57% increase in tenant contracts to 1,124. A new insurance partner has increased insurance cover for rent arrears at a lower cost. Zeus has an estimated discounted cash flow valuation of 303p/share. The current 2024 forecast is revenues of £3.6m and breakeven.

All Things Considered (ATC) has acquired a 50% stake in Mckeown Asset, which has concert and festival management interests, as well as 40% of Something Records and 10% of Brighton venue Concorde 2 (it has an option to increase the stake to up to 70%). The initial payment is £475,000 in cash and James Mckeown intends to spend £25,000 in All Things Considered shares. There is potential deferred consideration of £200,000. Mckeown Assets NAV was £243,000 at the end of April 2023, including investments valued at £125,000.

EPE Special Opportunities (EO.P) had an NAV of 324p/share. Holdings in Atlantic Credit Opportunities Fund and Prelude Structured Alternatives Master Fund have been sold and EPIC Acquisition Corp is being wound up because it failed to find a suitable acquisition. There was cash of £15.3m at the end of January 2024. The £4m of unsecured loan notes has been extended to 23 July 2024. There are 12.5 million ZDP shares in issue that mature at the end of 2026.

VSA Capital (VSA) and Andrew Gerrie and Alison Hawksley have settled their legal dispute with Silverwood Brands (SLWD) that relates to 2.28 million shares that were transferred from the two individuals to VSA Capital. The agreement should enable the transaction to sell Lush shares to Silverwood Brands to be unwound.

Investment Evolution Credit (IEC) says that it should take between ten and twelve months to gain FCA authorisation to provide consumer loans. It previously thought that it would take up to 18 months. The loans will be offered at annual percentage rates of between 19.9% and 59.9%. This is expected to improve revenues and profit. Investment Evolution Credit has launched an offering of up to £100m of 15% fixed rate unsecured bonds that last five years. This will fund the US loan portfolio and then UK loans when approvals are granted.

The NAV of Gledhow Investments (GDH) fell from £1.7m to £1.41m at the end of September 2023, including £174,000 in cash. The cash figure has increased to £280,000. There is 51% of the investment portfolio invested in AIM, one-third in Aquis and the rest in pre-IPO investments.

Diagnostic products developer EDX Medical Group (EDX) is raising £4.01m via a subscription at 12p/share, which is a premium to the market price. Founder Professor Chris Evans subscribed for 6.25 million shares. The other investors were high net worth individuals.

Oscillate (MUSH) has a 12.75% stake in Psych Capital (PSY). The investment company is pleased about the news that Psych Capital has been awarded a grant for a phase 1 POC study in Israel of psilocybin-assisted therapy for anorexia nervosa patients.

Marula Mining (MARU) has amended the terms of the Q Global Commodities subscription of up to £3.75m at 3.75p/share so that the money can be subscribed by another affiliate. This cash will be invested in battery metals mining projects in Africa. There is an option to subscribe up to a further £4.78m at 10p/share.

Substrate Artificial Intelligence (SAI) has an investment agreement with Indico Investments and Management, which can provide up to Euro2m with shares issued at a discount of 10% to the relevant share price. There is 2% commission on the total amount, plus 15% commission for each capital increase.

Newbury Racecourse (NYR) non-executive director Dominic J Burke bought 3,000 shares at 700p each, taking his stake to 6.51%. Arbuthnot Banking Group (ARBB) chairman and chief executive Sir Henry Angest acquired 100,000 shares at 990p each, taking his stake to 57.3% of the voting shares.

Clean Invest Africa (CIA) has raised £200,000 at 0.35p each.

Alex Albertini has been appointed as a non-executive director of SulNOx Group (SNOX). He has experience in the shipping industry.

AIM

Adam Wilson is stepping down as chief executive of coal supplier Bens Creek (BEN) once a replacement has been found. Lower metallurgical coal prices led to a shortage of cash last year and $13 of convertible loan notes were issued to 29.9% shareholder Avani Resources. That cash should have lasted until the end of 2024. The company blames poor weather in West Virginia for interrupting production and delaying trains transporting coal. Avani Resources has offered another $5m as a working capital facility. While details are worked out Avani has advanced $1.25m. A 12-month offtake agreement for 40,000 short tons of coal is being negotiated with Avani Resources.

Futura Medical (FUM) says 2023 product revenues were around £3.1m following the launch of erectile dysfunction treatment Eroxon in the UK and Belgium. It has already built up a 20% market share. A $4m upfront payment from Haleon for US rights will be recognised in 2024. There was cash of £7.7m at the end of 2023.

Redx Pharma (REDX) is selling global rights to the preclinical-stage KRAS (Kirsten rat sarcoma virus) inhibitor programme to Jazz Pharmaceuticals for an upfront payment of $10m and potential milestone payments of up to $870m. Redx Pharmaceuticals should have enough cash to get into 2025.

In-game advertising technology provider Bidstack (BIDS) has issued additional convertible loan notes to Irdeto because it has not been able to provide information to Bidstack to publish a shareholder circular. Shareholder approval is required for the convertible issue. Bidstack had drawn down £600,000 from the convertible loan note facility but does not expect to make any more draw downs. The €3m payment from commercial partner Azerion is running out with cash of £1.4m at the end of January and this will run out by the end of March. A strategic review has been initiated.

Building products supplier Alumasc (ALU) has traded strongly, even though the underlying markets, particularly housebuilding, have been weak. Interim revenues increased 6% to £47.8m and pre-tax profit was 14% higher at £6.3m. Water Management increased its profit contribution with recent acquisition ARP only becoming part of the group late in the period. New products helped the housebuilding division. Additional costs on sales meant that the building envelope division profit was lower. A major export order has been delayed, but full year pre-tax profit could still improve from £11.2m to £12.1m.

Cleaning services provider React (REAT) increased its pre-tax profit from £700,000 to £1.8m in the year to September 2023. Revenues grew by 43% and there was a full contribution from the LaddersFree acquisition. Net cash is £1.3m. Current trading is at record levels. Pre-tax profit is expected to grow to £2.1m this year. This has been trimmed because of additional investment in systems to cope with further growth. Tax losses are running out, so the reported earnings will be lower despite the underlying progress.

Semiconductors developer Sondrel (SND) revealed that it had received £1.5m form the customer where payments had been delayed. This has enabled deferred payments to be made by Sondrel. New business opportunities are being negotiated. Even so, Sondrel needs to raise more cash before the end of March to put it on a sound financial footing.

Bushveld Minerals (BMN) has suspended full year guidance until it receives funds from Southern Point Resources relating to last year’s fundraising. Full year production fell 3% to 3,714mt, but sales rose 13% to 4,051mt. However, production has been affected by the lack of cash and it fell to 267mt in January. Southern Point Resources owes more than $10m and claims processing delays and the default of a funding partner have delayed the payment. The payment should be made by the end of February.

Cloud computing services provider Beeks Financial Cloud (BKS) has secured a significant multi-year contract with one of the world’s largest global exchange groups. The contract requires regulatory approval so it may not make a contribution in the year to June 2024. The value of the deal was not disclosed but it could be worth £3m or more each year. Another contract has been increased in size. Canaccord Genuity is maintaining its 2023-24 pre-tax profit forecast at £4.1m and increasing the 2024-25 figure from £5.3m to £6m.

Verditek (VDTK) has agreed terms to sell its solar business and become a shell. The buyers are the holders of secured convertible loan notes in return for the surrender of £528,340 loan notes and £50,000 in cash. The company will transfer the shareholder loan to the new company for nominal consideration. The bondholders are providing Verditek with a loan facility of up to €100,000 to fund the operating costs of the solar business. If the deal does not go ahead by the end of February Verditek will be running out of cash. A new management team is interested in joining Verditek and there are plans to raise £300,000.

RF components and systems developer Filtronic (FTC) has won a £7.8m contract for ground station antenna amplifiers for a leading global supplier of LEO satellite communications equipment. It also released interims with revenues 1% ahead at £8.5m. The cost base has been increased to cope with future growth, so there was a swing from profit to loss. Cavendish has raised its full year revenues expectations from £20.5m to £23.5m and pre-tax profit estimate has more than trebled from £800,000 to £2.5m.

Helium One Global (HE1) says Itumbula West-1 has flowed a high concentration of helium to surface. A measured helium concentration of up to 4.7% equates to nearly 9,000 times normal background levels. The well results will be evaluated. The company raised £4.7m at 1.5p, which is still a 650% premium to the share price prior to positive drilling news.

Artemis Resources (ARV) has discovered spodumene bearing pegmatites with Li2O grades of up to 1.82% at the Mount Marie prospect in the Greater Carlow project. This is the first tangible proof of spodumene bearing pegmatites and it could be part of a lithium corridor according to WH Ireland. Assay information is being assessed and should be published on 13 February.

MAIN MARKET

S and U (SUS) says tough trading conditions are hampering trading. Advances by motor finance provider Advantage were 7% lower than last year. In the second half of 2023-24 90% of due payments were made, down from 94% in the previous period. This means that pre-tax profit will be 10%-15% below expectations of £38m. Net receivables for Aspen Bridging have increased from £114m to £130m. The second interim dividend will be raised from 35p/share to 38p/share.

A new African investor has invested $500,000 in Blencowe Resources (BRES) at 5p/share and a further $2.5m has been conditionally raised at the same price.

First Tin (1SN) says sampling at the Taronga tin project confirms extensions to known mineralisation to the northeast and southwest and identified other potential targets.

Cancer treatments developer Incanthera (INC) says that commercial discussions continue for skin cancer treatment Sol and there is potential for a Sol-based product range. There is still £295,000 of cash in the balance sheet at the end of March 2022. The Actino-Pro brand has been trademarked. There was a cash outflow from operations of £660,000 in the previous 12 months. Two directors have provided a loan facility of £190,000, of which £50,000 has been drawn. The directors have waived their remuneration and a payment to UOB has been deferred. Management believes that Incanthera will have enough finance until the fourth quarter of 2023. Potential partners could take advantage of the lack of cash when doing a deal.

S-Ventures (SVEN) has acquired Lizza, a wellness and free-from food brand, from Peter Cremer Holding. The Hamburg-based agricultural business is subscribing £2m for shares in S-Ventures at 70p each. The share price has never traded at that level. Lizza produces pasta and breads and provides S-Ventures with a base in the German market. Revenues were €4.5m in 2021. The initial cost of the deal is €1, but there is an earn-out based on a share of profit over ten years up to a maximum total of €2.366m.

Healthcare IT developer DXS International (DXSP) is reviewing its growth plans for the next 24 months. The new strategy will be designed accelerate growth and is likely to require additional funds. They will probably be raised through a share issue and that appears to have worried investors.

KR1 (KR1) has invested $300,000 in RedStone Finance, as part of a $7m fundraising. KR1 participated in the previous financing round. RedStone is developing RedStone Oracles, a provider of data feeds for crypto assets, and smart contract platform provider Warp Contracts.

Rent guarantee service provider RentGuarantor Holdings (RGG) published interim results showing a jump in revenues from £91,000 to £170,000. Higher admin expenses meant that the loss increased from £258,000 to £353,000. Revenues continued to improve in July and August.

Tectonic Gold (TTAU) says 40%-owned Whale Head Minerals has received a mining permit for its near-production minerals sands operation, which has an estimated NPV of £150m. Tectonic Gold has agreed to transfer a 30% stake to Whale Head Minerals’ BEE partners, which have mining expertise, and it will retain a non-diluting interest of 10%.

Invinity Energy Systems (IES) says contract manufacturer Baojia has shipped 1.1MWh of Invinity batteries from its factory in China designed for the project with Elemental Energy in Canada. Final assembly and testing will be done by Invinity Energy Systems at its factory before delivery.

TECC Capital (TEC) has invested a further £200,000 in convertible loan notes in EDX Medical. This takes the total investment in convertibles to £500,000, which is guaranteed by EDX Medical founder Professor Sir Chris Evans. Discussions continue about the acquisition of EDX Medical.

Vulcan Industries (VULC) has sold tacks and nails manufacturer IVI Metallics for £1. The business had net liabilities of £458,000 and it has struggled to rebuild its order book. Vulcan Industries still provides a cross guarantee for the CBIL liability of £739,000.

SuperSeed Capital Ltd (WWW) says that SuperSeed Fund II has led a $3.6m investment in brand advocacy platform Duel. The software-as-a-service platform helps retail brands grow via positive feedback from customers. ASOS, Unilever and Mint Velvet are among the clients.

Evrima (EVA) has an 8.93% stake in Kalahari Key, which has provided an update on the Molopo Farms Complex project. A diamond drilling contract has been signed with a Botswana-based company.

Yooma Wellness Inc (YOOM) increased interim revenues from $2.78m to $6.49m and the loss has been reduced from $5.57m to $3.83m. CBD product sales were strong in Europe and Japan. The company has been reducing its expenses.

Clarify Pharma (PSYC) had cash of £2.1m at the end of May 2022. It is seeking investments in the medical use of psychedelics.

Oscillate (MUSH) had £1.91m in the bank at the end of May 2022, although £600,000 has been invested in Aquis-quoted Psych Capital (PSY) and fully listed Dev Clever (LON: DEV).

AIM

Futura Medical (FUM) says that the clinical study for the MED3000 topical gel erectile dysfunction treatment has met its primary and secondary endpoints. The study showed an improvement in erectile function and a highly statistic improvement in the onset of action at 10 minutes. There were limited side effects with 4.3% of patient suffering headaches and a further 4.3% nausea, which is much better than rival treatment tadalafil. The next move is submitting MED3000 for FDA review as a De Novo medical device for the over-the-counter treatment of erectile dysfunction. This could lead to marketing authorisation by the first quarter of 2023. MED3000 has received the UKCA mark.

Neurocrine Biosciences Inc is making a recommended bid of 27.5p a share in cash for hormonal disease treatments developer Diurnal (DNL), which values the company at £48.3m. The April 2021 placing and open offer was at 70p a share and the share price has slumped since then. Revenues have not built up as fast as hoped and another cash raising is on the horizon if Diurnal stays independent.

Pharma software provider Instem (INS) has gained its largest ever contract. The deal is worth at least $12m over five years. The client is a contract research organisation and is for the company’s cloud-based Aspire clinical trial acceleration software, which will be launched with the customer in one year. There is $3m for implementation and the rest is paid in instalments of $2.25m a year over four years. The annual recurring revenues are $1m more than for the Instem system that is being replaced.

Egg-free cakes retailer Cake Box (CBOX) says trading is becoming more difficult and only part of the cost increases it is suffering are being passed on to franchisees. Sales are also under pressure with a like-for-like decline of 2.8% so far in this financial year. This means that full year profit will be much lower than the £7.2m expected. There is £6.7m in cash, although the £2m dividend will be paid in September. Chief executive Sukh Chamdal acquired 225,000 shares at 121.85p each.

Telephony services provider LoopUp Group (LOOP) has taken on a book of conference service contracts from a US competitor for no initial payment. There is a revenue share agreement for three years to October 2025. These contracts could generate cash of £5m a year, although it may reduce due to customer churn. This is much-needed cash flow for the business, which is still heavily loss-making. The new bank facility is £17m and that more than covers the expected net debt at the end of 2023.

Oil and gas producer PetroNeft Resources (PTR) has an oil storage and transportation contract with Nord Imperial for production from licence 61 in Tomsk Oblast, Russia at a cost that is far above standard market rates. PetroNeft has tried to change the contract and started paying reduced amounts, but Nord Imperial has suspended acceptance of oil. PetroNeft is shutting down its wells, which will hit income. Licence 67 is not affected and is producing 270 barrels of oil per day.

Independent directors of market research firm System1 Group (SYS1) are conducting a strategic review and the proposed tender offer has been postponed. This review will assess whether the company can grow faster if partners or an external investor are brought in.

MAIN MARKET

Zamaz (ZAMZ) joined the standard list last Friday and raised £3.69m. Cornerstone investor Atlas paid 10.45p a share, which is a 5% discount to the nominal subscription price. Most of the cash will go on expenses and repaying existing bonds. Zamaz believes that its technology platform can help to efficiently build direct to consumer brands via e-commerce. Amazon is currently the main marketplace used by the company. There is already a portfolio of brands in the group, but most are at an early stage of their development. There are plans to acquire more brands. Revenues are relatively modest and Zamaz is losing money. The share price fell to 9.48p (8p/10.95p) on the first day. There were 90,000 shares traded in one deal at 10.95p. The shares are tightly held and there is potential dilution from the convertibles worth up to £15m that could be issued to Atlas Capital Markets and the associated warrants.

First Tin (1SN) has announced positive intercepts at the latest two drill holes at the Gottesberg tin project in Germany. These and other results validate the belief that a higher grade core exists within the deposit.

Iconic Labs (ICON) has settled disputes and has finalised proposals for a company voluntary arrangement. If this goes ahead then the administration will end and trading in the shares may recommence once up to date results have been published. The shares have been suspended for around 15 months.

Rogue Baron (SHNJ) has sold a shipment of 857 cases of Shinju Japanese whisky in the US. Each case of six bottles sells for up to $150. There was a total of 9,000 bottles of Shinju sold in 2020. US sales are growing so quickly that the company has decided to focus on the market and delay moves into other markets.

KR1 (KR1) has invested a further $150,000 in Vega Protocol in exchange for 194,999.17 VEGA tokens and made an initial $200,000 investment in the Starks Network. KR1 has also generated a further 77,542.92 Polkadot tokens and they were sold for $1.85m. KR1 still has nearly 3.5 million Polkadot tokens. Mona Elisa has been appointed as a non-executive director.

Block Commodities (BLCC) and Century Cobalt Corporation have entered an option agreement to acquire a 70% interest in a medicinal cannabis licence granted to Magnus Cannabis Group in Zimbabwe. Each of the buyers will hold a 35% interest. The option fee is £50,000. The payment for the interest will be £1.5m in Block shares at 0.07p each and £1.5m of Century Cobalt shares. Block no longer intends to acquire Sierra Leone-based Greenbelt Company.

Chris Akers has increased his stake in Quetzal Capital (WENP) from 9.4% to 15.2%.

Love Hemp (LIFE) has signed a five-year sponsorship agreement with UFC.

David Rigoli is joining the board of Veni Vidi Vici (VVV) and he has an interest in electric vehicle commodities.

AfriAg Global (AFRI) is holding a general meeting on 12 April to gain shareholder approval for the reverse takeover of Apollon Formularies Ltd. AfriAg will change its name to Apollon Formularies.

Wheelsure Holdings (WHLP) has raised £25,000 at 13.5p a share.

AIM

Online fashion retailer In The Style (ITS) joined AIM last week. The share price increased from the 200p placing price to 235p. Existing shareholders raised £46.8m from share sales, while there was £9.1m net raised by the company. There will be more investment in the technology platform and there are plans for an international version of the company’s app.

Underlying 2020 revenues at digital payments business Boku (BOKU) were one-fifth higher at $56.4m helped by a six-month contribution from Fortumo. Profit grew even though there was a higher loss from the identity division. There was net cash of more than $50m at the end of 2020, although that includes cash held on behalf of others. In 2021, there should be further growth in digital payments and an improved performance by the identity division.

Trading at document management and technology recycling business Restore (REST) has continued to improve since the second quarter of last year. In 2020, revenues fell from £216m to 3183m, while pre-tax profit dipped from £36m to £23m. This year pre-tax profit should be getting back towards the 2019 level. There are opportunities for further add-on acquisitions.

Futura Medical (FUM) says that erectile dysfunction topical gel formulation MED3000 should be certified as a class 2B medical device which can be obtained without a prescription. This could happen by May. US approval is also progressing.

Diagnostic data provider and analyser Diaceutics (DXRX) was able to launch its DXRX platform at the end of 2020 and it is already winning projects and building up recurring revenues. In 2020, revenues declined from £13.4m to £12.7m and Diaceutics fell into loss. It should return to profit this year.

Renewable energy company Bion (BION) has opened an office in the UK in order to expand in Europe. Two biogas plants in Malaysia are selling electricity generated from biogas produced from palm oil mill effluent. Another two plants will be generating electricity in the next few months.

Trans-Siberian Gold (TSG) has recommended a 118p a share mandatory cash offer from Horvik, which has already agreed to acquire a 51.2% stake.

Telit Communications (TCM) is releasing DBAY Advisers from its restriction on making a bid within six months of previously ending bid talks.

Waterford Finance and Investment is making a mandatory offer for former AIM company Gulfsands Petroleum having bought the stake previously owned by ME Investments for £3.43m. Waterford is also taking ownership of the convertible loan notes owned by ME. Waterford had a 37.3% stake in Gulfsands and it is deemed to be acting in concert with Blake Holdings, owned by Richard Griffiths and James Ede-Golightly. The Waterford stake in the Syria-focused oil and gas company has increased to 52.45% and the combined stake is 83.93%. The bid is 4.035p a share.

CEPS (CEPS) subsidiary Hickton Group has acquired gas and electrical safety consultancy Millington Lord for up to £1.1m.

Dye and Durham no longer intends to bid for IDOX (IDOX), which has sold its Netherlands grants consultancy.

Tremor International (TRMR) has made a filing with the SEC ahead of a potential US listing. Tremor believes it would get a rating more in line with US Ad Tech companies.

Kodal Minerals (KOD) has raised £3.5m at 0.125p a share. This will be used to develop the Bougouni lithium project in Mali and to fund exploration of three gold projects.

MAIN MARKET

Caerus Mineral Resources (CMRS) joined the standard list last Friday after raising £1.92m net at 10p a share. The share price rose to 13p. Caerus is exploring for copper, gold and silver in Cyprus, having acquired New Cyprus Copper, which owns 70% of a company with 12 exploration licences in four project areas in Cyprus. Completion of a work programme will earn a further 20% stake in the subsidiary with the opportunity to acquire the other 10% within 12 months of the work programme for A$2m.

Standard list shell Marwyn Acquisitions Company 1 (MAC1) is raising £130m at 100p a share. Vin Murria has joined the board and she will be investing £17.5m for a 13.1% stake. Murria is likely to seek a large international software acquisition for this vehicle.

Sanofi is terminating its licence agreement with Oxford Biomedica (OXB) but there should not be any significant impact on medium-term revenues.

Toople (TOOP) continues to reduce monthly cash burn. The proceeds of a sale of 1.05 million shares at 0.06p each by the wife of the boss of a subsidiary will be used to repay a £462,000 loan.

OTAQ (OTAQ) has invested $150,000 and converted its loan notes in Minnowtech, which has developed an imaging product using OTAQ sonar technology. This gives OTAQ a 15.2% stake.

CML Microsystems (CML) says shareholders should receive 50p a share in cash by 26 March. Net cash will be more than £30m after this payment, which comes out of the proceeds of the disposal of the storage division. The continuing communications business generated slightly higher revenues in the second half than in the first half. Orders are improving.

Antimicrobial materials technology developer HeiQ (HEIQ) has signed a five-year contract with ICP, which develops thin film coatings for packaging. ICP will use HeiQ Viroblock in its coatings. This could be worth $8m in the first two years. Over five years the royalty revenues should be $30m. This follows a deal with Berger Paints, which could generate $600,000 over one year.

BATM Advanced Communications (BVC) has received around $29m for the completed disposal of NGSoft. The cash will be reinvested in network function virtualisation and molecular diagnostics.

Ian Pollard – AA lifted by potholes & exceptional weather

AA plc AA claims it is well positioned to return to growth from 2019 and that a revenue rise .of 2% reflects a solid performance especially in what it  calls “roadside.”.  The real reason for roadsides strength was exceptional weather conditions  for which even the AA dare not claim credit, as it benefited from extreme cold and snow in February and March to the hottest summer in recent memory. The severe winter created a pothole ‘epidemic’ and led to a 15 year high in the number of breakdowns it serviced. Despite the support of the weather gods, profit before tax for the six month to the 31st July collapsed by 65% and basic earnings per share by 64%, a financial performance which the company claims was in line with expectations.Hopefully management will be able  ensure that 2019 return to growth, actually happens, irrespective of the weather.

SSP Group SSPG updates that for the period from the 1st July to the 30th September like for like sales continuing at the same level as in quarter three. Full year like for like sales grwoth is expected to be unchanged at between 2% and 3%.

Boohoo Group plc BOO produced another strong performance in the six months to the 31st August and delivered record sales and profits. Sales jumped by 50%, profit before tax rose by 22% and adjusted EBITDA by 43%. Sales growth of at least 25% per annum is forecast for the medium term. For the full year to the 28th February 2019 revenue growth is expected to be 38% to 43%, up from previous guidance of 35% to 40%.
